End User License Agreement

This End User License Agreement (“Agreement”) is between you (the “Licensee”) and Motion Squared (“we”, “us”). It covers digital material packs, shaders, texture maps, databases and preview scenes obtained from us (the “Products”). By downloading or using a Product, you agree to this Agreement.

1. Licence grant

We grant one named user a non-exclusive, non-transferable, worldwide, perpetual and royalty-free licence to use the Product in unlimited personal and commercial projects, subject to this Agreement.

The licence follows the person, not the computer. The named user may install the Product on the computers they personally use. Every additional person who accesses or uses the Product needs their own licence.

2. Permitted use

• Use the Product in personal or commercial stills, animation, motion graphics, film, television, advertising, visualisation, games, interactive work and client projects.
• Distribute rendered output, including images, video and compiled real-time experiences, without royalties or attribution.
• Adjust and combine materials for use in your own projects.
• Use the Product on a render farm or cloud-render service solely to render work for the licensed user’s projects, provided the service does not retain or redistribute the source assets.

3. Prohibited use

• Share, sell, sublicense, rent, lend, give away or otherwise redistribute the Product, including its individual materials, maps, databases or preview scenes.
• Include the Product, or an extractable derivative of it, in an asset pack, material library, plugin, template, stock download or project file distributed to an unlicensed person.
• Upload source assets to marketplaces, file-sharing services, public repositories or shared libraries accessible to people without a licence.
• Use Product files to train, fine-tune, test or validate a machine-learning or generative-AI model, or include them in a dataset for that purpose.
• Claim ownership of the Product or register it with a content-identification or intellectual-property registration system.

4. Teams, studios and client files

Each artist who opens, edits or applies the Product needs their own named-user licence. A freelancer may use the Product in work for a client and deliver rendered output. Delivering an editable project that contains Product source assets requires the receiving client or artist to hold an appropriate licence. For multi-seat pricing, contact don@motionsquared.net.

5. Ownership

Products are licensed, not sold. Motion Squared and its licensors retain all ownership and intellectual-property rights in the source assets.

6. Downloads and updates

Your account provides re-download access while the download service and your entitlement remain available. Updates to the same Product are included at no extra charge. We may retire a Product from sale, but will use reasonable efforts to preserve access for existing customers.

7. Termination

The licence ends if you materially breach this Agreement and do not remedy the breach where it can be remedied. On termination, you must delete Product source files. Compliant rendered output created before termination remains unaffected.

8. Compatibility and warranty

Products are provided “as is” subject to rights that cannot be excluded by law. We do not promise compatibility with every current or future software version, plugin, render engine or hardware configuration. Check the product page and contact support where compatibility is unclear.

9. Liability

Nothing in this Agreement excludes liability that cannot lawfully be excluded. Subject to that, our total liability relating to a Product will not exceed the amount paid for that Product, and we are not liable for indirect or consequential loss that was not reasonably foreseeable.

10. General

This Agreement is governed by the laws of England and Wales. If one provision is unenforceable, the remainder stays in effect. This Agreement and the order terms form the agreement about your licence to the Product.
